Omnexis Group LLC is a limited liability company registered in the State of Wyoming, USA. The Company is the seller and the issuer of all invoices for the Services.
We operate exclusively online and serve clients across the European Union and worldwide. The Company does not provide legal advice, marketing agency services, email sending services, or campaign execution of any kind. Our deliverable is a dataset; all outreach is carried out by the Client using its own infrastructure and under its own responsibility.
§ 04
Scope of Services
The Company compiles business contact datasets to order. Each Dataset is built from Public Sources on the date of the Order. The Company does not resell pre-existing files, archived databases, or datasets compiled for other clients.
A Record contains, so far as the information is published by the business concerned and available from Public Sources, the following fields:
- business name and business category;
- street, postal code, city, region, and country;
- telephone number;
- website address and domain;
- generic business email address and its verification status;
- publicly displayed rating and review count;
- social media profile links;
- the source search phrase and the timestamp of acquisition.
Each Dataset is processed as follows before delivery:
- Domain verification — the mail exchange (MX) records of every domain are checked in DNS. Businesses without a published contact address, without a website, or with a domain that does not accept mail are excluded at our stage and are not charged for.
- Deduplication — Records are deduplicated by business name, address, telephone number, and domain.
- Timestamping — each Record carries the exact time of acquisition.
- Channel filtering — the field set is filtered according to the outreach channel specified in the Brief.
The Company reserves the right to decline any Brief or Order at its sole discretion, in particular where the Brief targets individuals rather than businesses, targets special categories of data within the meaning of Article 9 GDPR, or where the intended use disclosed by the Client would be unlawful or contrary to public policy.
§ 05
Order Process & Delivery
Orders are placed by submitting a Brief through the contact form on the Website or by emailing office@b2b-leads.biz.
The process is as follows:
- The Client submits a Brief specifying industry or search phrases, area, indicative volume, and outreach channel.
- The Company responds — as a rule within two hours during business hours — with an estimate of the number of businesses realistically available in the specified niche and area, together with a Sample of twenty complete Records drawn from that niche.
- The Company issues a Quote stating the final price, the estimated number of Records, and the delivery deadline. The Quote is valid for 7 days from the date of issue unless otherwise stated.
- The Client accepts the Quote and pays the stated amount. The Order is confirmed when payment is received and settled in the Company’s bank account.
- The Company compiles, verifies, and delivers the Dataset.
Compilation of the Dataset commences only after payment is confirmed as cleared. No Dataset shall be delivered, disclosed, or transmitted prior to full settlement of the applicable fee. The Sample is the exception and is supplied free of charge and without obligation.
Indicative delivery time from the moment of payment confirmation is 24 to 48 hours. Datasets of exceptional volume, datasets spanning multiple countries, and Briefs requiring non-standard field sets are delivered within the deadline stated in the individual Quote.
Datasets are delivered in electronic format (CSV and/or XLSX) to the email address provided by the Client, or by a download link, at the Company’s discretion.
Record counts stated in a Quote are estimates. The actual number of Records depends on how many businesses matching the Brief exist and publish usable contact data, and on how many are removed by domain verification and deduplication. Where the delivered Dataset contains materially fewer Records than the estimate, the Company will refund or credit the difference on a pro-rata basis, or extend the Brief at no additional charge, at the Client’s election.
§ 06
Pricing & Payment
All Services are priced individually following review of the Brief. Price depends on the target industry, the geographic scope, the volume of Records, the field set required, and the complexity of verification. There is no minimum order volume; the Client may order any number of Records.
Prices are stated in the Quote in Euro (EUR) or Polish złoty (PLN) and are exclusive of any taxes, levies, or duties applicable in the Client’s jurisdiction, for which the Client is solely responsible. Where the Client is a business established in the European Union, the Client is responsible for accounting for any reverse-charge VAT due on the import of services.
Payment is made by bank transfer to one of the accounts below. Bank charges, intermediary fees, and currency conversion costs are borne by the Client.
| Account | Currency | IBAN | BIC / SWIFT |
|---|---|---|---|
| EUR Account | EUR | BE30 9051 9285 5811 | TRWIBEB1XXX |
| PLN Account | PLN | GB26 TRWI 2308 0173 7902 18 | TRWIGB2LXXX |
Account holder: Omnexis Group LLC. The EUR account is held with Wise, Rue du Trône 100, 1050 Brussels, Belgium. The PLN account is held with Wise Payments Limited, 65 Clifton Street, London EC2A 4JE, United Kingdom.
The Company does not operate subscription billing or recurring charges. Each Order is a one-time, independent transaction and no automatic payments are initiated.
§ 07
Data Quality & Replacement
The Company warrants that each delivered Dataset meets the following standards:
- Field accuracy of at least 92%, measured as the proportion of Records in which the business name, address, and contact fields correctly reflect the Public Sources at the time of acquisition;
- A hard bounce rate below 2% on the email addresses supplied, measured on the Client’s first send to the Dataset.
Where a Dataset falls below either standard, the Company will replace the affected portion of the Dataset at no charge. To claim replacement, the Client must submit, within 30 days of delivery, the bounce log or equivalent evidence produced by its sending platform, identifying the affected Records.
Datasets are supplied for the Client’s own outreach and are not warranted as fit for any other purpose, including credit assessment, identity verification, or any decision affecting the businesses or individuals concerned.
§ 08
Cancellations & Complaints
Cancellation before commencement: A Client may cancel a confirmed Order at no charge at any time before the Company has commenced compilation of the Dataset. Cancellation requests must be submitted to office@b2b-leads.biz. Where payment has already been received and compilation has not commenced, a full refund will be issued within 14 days.
Cancellation after commencement: Because each Dataset is compiled to the Client’s individual Brief and has no resale value, cancellation is no longer available as of right once compilation has commenced. Any refund in such circumstances is at the Company’s sole discretion, taking into account the proportion of work completed.
Right of withdrawal (EU consumers): Where the Client is a consumer habitually resident in the European Union, the Client has a statutory 14-day right of withdrawal from the date of contract conclusion, without giving reasons, pursuant to Directive 2011/83/EU.
Datasets are compiled to the Client’s specification and delivered as digital content not supplied on a tangible medium. Where the Client expressly requests that compilation commence before the expiry of the 14-day withdrawal period, and expressly acknowledges that the right of withdrawal will be lost upon delivery of the Dataset, the Company will obtain that express request and acknowledgement in writing before commencement. Once the Dataset has been delivered with the Client’s prior express consent, the right of withdrawal is extinguished in accordance with Article 16(m) of Directive 2011/83/EU.
Where compilation has commenced but the Dataset has not yet been delivered and the Client exercises the right of withdrawal, the Client shall pay an amount proportionate to the work performed up to the point of withdrawal, calculated on the basis of the total price agreed in the Quote.
Complaints procedure: Any complaint regarding a delivered Dataset must be submitted in writing to office@b2b-leads.biz within 30 days of delivery, specifying the alleged defect in reasonable detail and, where the complaint concerns deliverability, enclosing the evidence described in §7. The Company will acknowledge receipt within 2 business days and provide a substantive response within 14 days. Accepted complaints are resolved by replacement of the affected Records or, where replacement is not feasible, by partial or full refund.
EU consumers may also refer disputes to the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
§ 09
Client Obligations
By using the Website and placing Orders, each Client agrees to:
- provide accurate, complete, and truthful information in the Brief and in all communications with the Company;
- use each Dataset solely for lawful purposes and in compliance with all law applicable to the Client and to the recipients of its communications, including data protection law, electronic communications and marketing law, and unfair competition law;
- establish and document its own lawful basis for every communication it sends, before sending it;
- identify itself clearly in all outreach and provide a functioning means of objecting to further contact in every message;
- act promptly on any objection, opt-out, or erasure request received from a person whose data appears in a Dataset, and refrain from further contact with that person;
- refrain from using any Dataset to send content that is fraudulent, misleading, deceptive, defamatory, or otherwise unlawful;
- refrain from any activity that disrupts, overloads, or impairs the functioning of the Website or its infrastructure, and from attempting unauthorised access to any part of it.
The Company reserves the right to refuse or terminate any Order without refund where the Client’s stated purpose is found to be false or misleading, or where the Client uses a Dataset in breach of this section.
§ 10
Permitted Use of Datasets
Upon full payment and delivery, the Client is granted a non-exclusive, non-transferable, perpetual licence to use the Dataset for its own business development and outreach purposes.
The Client may not, without the Company’s prior written consent:
- resell, sublicense, rent, publish, or otherwise make the Dataset available to any third party, whether in whole or in substantial part;
- incorporate the Dataset into any product, database, or service offered to third parties;
- use the Dataset on behalf of more than one commercial entity, other than where the Client is an agency and disclosed that fact in the Brief.
Use of a Dataset by the Client’s own employees, contractors, and sending platforms acting on the Client’s instructions is permitted and does not constitute a transfer to a third party.
§ 11
Data Protection Roles
Business contact data contained in a Dataset may constitute personal data within the meaning of Article 4(1) GDPR, in particular where a Record identifies a natural person such as a sole trader or a named contact.
In relation to that data:
- the Company acts as an independent controller when it collects the data from Public Sources, verifies it, and compiles it into a Dataset;
- the Client becomes an independent controller in its own right upon delivery of the Dataset, and determines the purposes and means of all subsequent processing.
The parties are not joint controllers and the Company is not a processor acting on the Client’s behalf. Accordingly, no data processing agreement under Article 28 GDPR is concluded in respect of Dataset content. Each party is responsible for its own compliance, including for its own record of processing activities, its own legitimate interest assessment where applicable, and its own responses to data subject requests.
Where the Company receives an objection or erasure request from a person whose data appears in a Dataset already delivered to a Client, the Company will notify the Client and the Client shall suppress the relevant Record without undue delay.
The Company’s own processing of personal data is described in the Privacy Policy.
§ 12
Intellectual Property
All content on the Website — including texts, visual design, graphics, logos, and structural elements — is the exclusive property of Omnexis Group LLC and is protected under applicable copyright law. The Client may not reproduce, distribute, or publish any Website content without the Company’s prior written consent. Use permitted under applicable fair use or quotation exceptions is allowed provided the source is clearly credited.
The Company retains all rights in its collection methodology, verification pipeline, field schema, tooling, and any templates supplied alongside a Dataset. Nothing in these Terms transfers ownership of those elements to the Client.
The individual factual items within a Dataset are not claimed as the Company’s property. The Company asserts rights in the Dataset as a compilation, to the extent such rights subsist under applicable law, and licenses that compilation to the Client on the terms set out in §10.
§ 13
Disclaimer & Limitation of Liability
The Company provides the Services with professional diligence and to the quality standards set out in §7. Beyond those standards, Datasets are supplied as compiled from Public Sources and the Company gives no further warranty of any kind, express or implied.
The Company does not warrant, and shall not be liable for:
- the commercial outcome of any campaign, including response rates, conversion, or revenue;
- the continued accuracy of a Dataset after the date of delivery;
- the reputation, deliverability, or blocklist status of the Client’s own sending domains or infrastructure;
- any consequence of the Client’s use of a Dataset in breach of §9 or §10, including any regulatory action, complaint, or claim brought against the Client;
- the lawfulness of any communication sent by the Client;
- errors caused by inaccurate, incomplete, or misleading instructions in the Brief;
- temporary unavailability of the Website due to maintenance, force majeure, or circumstances beyond the Company’s reasonable control;
- content on external websites linked from the Website or referenced in a Dataset.
To the maximum extent permitted by applicable law, the Company’s aggregate liability to any Client in connection with any Order shall not exceed the total fees paid by that Client for the Order giving rise to the claim. The Company shall not be liable for indirect, incidental, or consequential loss, including loss of profit, loss of business, or loss of goodwill.
The Client shall indemnify the Company against any third-party claim, regulatory penalty, or cost arising from the Client’s use of a Dataset in breach of §9 or §10.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory provisions of applicable law, including EU consumer protection law where it applies to the Client.
§ 14
Client Personal Data
Omnexis Group LLC processes personal data of EU residents as a data controller within the meaning of Article 4(7) GDPR, pursuant to Article 3(2) GDPR (territorial scope — processing related to the offering of services to EU data subjects).
Personal data of Clients and Website visitors (including name, email address, company details, and the content of a Brief) are collected only when voluntarily provided. The legal bases for processing are Article 6(1)(b) GDPR (performance of a contract), Article 6(1)(c) (compliance with a legal obligation, in particular accounting and tax record-keeping), and Article 6(1)(f) (legitimate interests of the Company in operating and securing its business).
Retention: Data related to an Order are retained for 5 years from completion of the Order, in accordance with applicable record-keeping obligations. Enquiries that do not result in an Order are retained for 12 months. Data processed on the basis of consent are deleted upon withdrawal of that consent.
Recipients: Personal data may be disclosed to payment service providers, email and file delivery providers acting as processors under data processing agreements, professional advisors where required, and public authorities where required by law. Personal data are not sold or transferred to third parties for marketing purposes.
EU residents retain the rights set out in Articles 15–22 GDPR: access, rectification, erasure, restriction, portability, objection, and withdrawal of consent where processing is consent-based. Requests may be submitted to office@b2b-leads.biz. EU residents also have the right to lodge a complaint with the supervisory authority of their member state of habitual residence.
Full details of the Company’s processing practices, including the processing of business contact data collected into Datasets, are set out in the Privacy Policy.
§ 15
Cookies
The Website uses cookies — small text files stored on the User’s device — to ensure correct functionality, analyse traffic, and improve the browsing experience. Non-essential cookies are set only with the User’s consent.
Users may configure or disable cookies through their browser settings at any time, or withdraw consent through the cookie settings on the Website. Disabling certain cookies may limit functionality. Further information is set out in the Cookie Policy.
§ 16
Amendments to the Terms
The Company reserves the right to amend these Terms at any time. Amendments take effect upon publication of the updated version on the Website, together with the new effective date and version number. Continued use of the Website or placement of an Order following publication constitutes acceptance of the revised Terms.
Orders already confirmed remain governed by the version of the Terms in force at the time of confirmation. Where an amendment materially affects an Order in progress, the Company will notify the relevant Client by email.
§ 17
Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or in connection with these Terms or the Services that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of the State of Wyoming, USA.
EU consumer protection: Notwithstanding the foregoing, if the Client is a consumer habitually resident in a European Union member state, nothing in these Terms affects the mandatory consumer protection rights afforded to that Client under the laws of their country of habitual residence, including the right to bring proceedings before the courts of that country. Such consumers may also refer disputes to the ODR platform at ec.europa.eu/consumers/odr.
This choice of law does not affect the application of the GDPR to the Company’s processing of personal data of data subjects in the European Union.
